Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On January 16, 2007, the Compensation Committee of the Registrant’s Board of Directors adopted an amendment to the Retention Policy previously disclosed in the Registrant’s Current Report on Form 8-K filed with the Securities and Exchange Commission on October 23, 2006. Under the Retention Policy, employees that do not continue with the surviving entity after the merger of the Registrant and Chicago Mercantile Exchange Holdings Inc. (the “Merger”) that do not have individual contractual severance arrangements with the Registrant will be entitled to receive certain severance benefits. In the case of executive officers without individual contractual severance arrangements with the Registrant, severance benefits will consist of: (i) 12 weeks of base pay, plus 2 weeks of base pay for each full year of service, up to a maximum of 52 weeks; (ii) 4 months of employer paid COBRA coverage for medical and dental insurance; and (iii) outplacement services.

The amendment adopted on January 16, 2007 provides that employees that do not have individual contractual severance arrangements with the Registrant will be entitled to the severance benefits set forth in the Retention Policy if (1) the employee is terminated as a result of the Merger within two years after the closing date of the Merger or (2) the employee’s base salary is reduced within two years after the closing date of the Merger and the employee elects to terminate their employment within 10 days after the effective date of the salary reduction.
